1. Acceptance of Terms

By accessing or using the Haler platform ("Platform"), including the mobile application and web services available at haler.app, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Haler ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

2. Description of Service

Haler is a construction trucking dispatch and fleet management platform that enables organizations to manage hauling operations. The Platform provides tools for dispatching, job management, real-time tracking, ticket and tag capture, and organizational administration.

3. Account Registration

To use the Platform, you must register an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to create an account. By registering, you represent that you meet this age requirement.

4. Organization Accounts

Organizations using the Platform are responsible for the actions of their members and drivers. Organization administrators must ensure that all personnel using the Platform comply with these Terms and all applicable laws and regulations.

We reserve the right to approve, suspend, or terminate organization accounts at our discretion, including for violations of these Terms or applicable laws.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Interfere with or disrupt the Platform or its infrastructure
• Attempt to gain unauthorized access to any part of the Platform
• Transmit viruses, malware, or other harmful code through the Platform
• Use the Platform to harass, abuse, or harm other users
• Reverse-engineer, decompile, or disassemble any part of the Platform
• Share your account credentials with unauthorized third parties

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

The Platform collects location data, operational data, and other information necessary to provide dispatch and fleet management services. Organizations are responsible for informing their personnel about data collection practices.

7. Intellectual Property

The Platform, including its design, features, content, and underlying technology, is owned by Haler and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

You retain ownership of any data you submit to the Platform. By submitting data, you grant us a license to use, store, and process that data as necessary to provide the Platform services.

8. Payment and Billing

Certain features of the Platform may require payment of fees. All fees are stated in your subscription agreement or as displayed on the Platform. Unless otherwise stated, fees are non-refundable.

We reserve the right to change our pricing with reasonable advance notice. Continued use of paid features after a price change constitutes acceptance of the new pricing.

9. Service Availability

We strive to maintain the availability of the Platform but do not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Platform or any feature at any time, with or without notice, for maintenance, updates, or other reasons.

10. Limitation of Liability

To the maximum extent permitted by law, Haler shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. This includes, but is not limited to, loss of profits, data, or business opportunities.

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Haler and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Platform immediately and without notice if you violate these Terms.

Upon termination, your right to use the Platform will cease immediately. Provisions that by their nature should survive termination shall remain in effect, including intellectual property, limitation of liability, and indemnification.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with applicable arbitration rules.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Haler is incorporated, without regard to its conflict of law provisions.
